1. Acceptance of Terms

By accessing or using BuildLink AI ("Service"), operated by BuildLink AI Inc. ("Company", "we", "us"), a corporation registered in Alberta, Canada, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

BuildLink AI is a construction intelligence platform that provides AI-powered tools for general contractors, subcontractors, suppliers, and other construction industry professionals. The Service includes project management, bid estimation, opportunity tracking, AI analysis, and related functionality.

3. Eligibility and Account Registration

The Service is currently in closed beta. Access requires an invitation from BuildLink AI Inc. You must provide accurate information during registration and maintain the security of your account credentials. You are responsible for all activity under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Upload malicious code, viruses, or harmful content
• Use automated tools to scrape or extract data from the Service
• Interfere with or disrupt the Service or its infrastructure
• Resell, sublicense, or redistribute access to the Service

5. Your Content and Data

You retain ownership of all data, documents, and content you upload to the Service ("Your Content"). By using the Service, you grant us a limited license to process Your Content solely to provide and improve the Service. We will not sell Your Content to third parties.

You are responsible for ensuring that Your Content does not violate any applicable laws or third-party rights. We reserve the right to remove content that violates these Terms.

6. AI Features and Disclaimers

The Service includes AI-powered features (scope analysis, bid estimation, recommendations). AI outputs are provided as suggestions only and should not be relied upon as professional advice. You are solely responsible for verifying AI outputs before making business decisions.

We do not guarantee the accuracy, completeness, or suitability of any AI-generated content. AI features are continuously evolving and may change without notice.

7. Subscription and Payment

During the beta period, the Service is provided at no charge. Following the beta period, access may require a paid subscription. We will provide advance notice of any pricing changes. Payment terms, refund policies, and billing cycles will be detailed at the time subscription plans are made available.

8. Intellectual Property

The Service, including its design, code, AI models, documentation, and branding, is the intellectual property of BuildLink AI Inc. and is protected by Canadian and international intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except as expressly stated.

9. Limitation of Liability

To the maximum extent permitted by law, BuildLink AI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or CAD $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless BuildLink AI Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. You may close your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 30 days before changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Alberta, Canada.
